TERMS AND CONDITIONS OF SALE
These general terms govern online purchases made through the domain www.brunomanetti.it, owned and managed by Bruno Manetti S.r.l.

GENERAL PROVISIONS
1.1. These general terms and conditions of sale (hereinafter, the “General Conditions” and/or “GTC”) apply to all sales of “BRUNO MANETTI” branded products concluded remotely through the website www.brunomanetti.it.
1.2. The use of the distance selling service described in these General Conditions is reserved exclusively for consumers (hereinafter, the “Customers” or “Customer”), understood as natural persons acting for purposes unrelated to any commercial, artisanal, entrepreneurial or professional activity they may carry out, and who are at least 18 years old (or, if minors, authorized by their legal guardian).
1.3. The Customer is required to carefully read the General Conditions, which are made available on the Website, in order to allow their acknowledgment, storage and reproduction by the Customer pursuant to Article 12, paragraph 3, of Legislative Decree no. 70 of April 9, 2003 (“Implementation of Directive 2000/31/EC on certain legal aspects of information society services in the internal market, with particular reference to electronic commerce” – hereinafter, the “E-commerce Decree”). Contracts concluded with Customers will be stored by Bruno Manetti S.r.l., and Customers may access them on the Website through their account. By using this Website, you unconditionally accept the terms and conditions set forth herein, which may be modified at any time without prior notice by Bruno Manetti S.r.l. at its sole discretion; continued use of the Website after such changes shall constitute unconditional acceptance of the modified terms. The information, images, photographs, trademarks, products and, in general, the elements and materials found on this Website are provided solely for promotional and advertising purposes; you may download or copy such information and materials only for personal and non-commercial use.
1.4. Contracts concluded with Bruno Manetti S.r.l. through the Website are governed by Italian law and, in particular, by Legislative Decree no. 206 of September 6, 2005, as amended (the “Consumer Code”) and the aforementioned E-commerce Decree.

PRODUCT INFORMATION AND AVAILABILITY
3.1. Information relating to the Products, including their product codes, is available on the Website, where the Customer can find details of the main characteristics of each Product.
3.2. The Website does not contain all Products. The Products represent a selection of items normally available in stores and include, by way of example, clothing and fashion accessories. The graphic representation of the Products on the Website may differ from reality.
3.3. All Products are subject to availability at the time. Bruno Manetti S.r.l. reserves the right to change, at any time, the limits on the quantity and/or type of Products purchasable online. The style, models and colors of the Products described on the Website may be modified without notice.

PRICE
4.1. Product prices are indicated on the Website in Euros and include all applicable taxes and duties.
4.2. Bruno Manetti S.r.l. constantly verifies that all prices indicated on the Website are correct; however, this does not guarantee the absence of errors. In the event of a pricing error, Bruno Manetti S.r.l. will give the Customer the opportunity to reconfirm the order at the correct price or to cancel it.

PURCHASE PROCEDURE
5.1. The essential characteristics and prices of the Products are indicated in the offer relating to each Product on the Website.
5.2. Before submitting an order proposal, Customers are invited to ensure they have read and understood the instructions provided during the purchase process and these General Conditions, as they will be binding once the contract is concluded. To purchase Products, the Customer must complete and submit the electronic order form to Bruno Manetti S.r.l., following the instructions on the Website. The Customer must place the Product in the appropriate “shopping cart” and, after reviewing and accepting the General Conditions—particularly those relating to the right of withdrawal—and after reviewing the Privacy Policy, must select the desired payment method and choose the “proceed with order” option.
5.3. If the Customer needs to correct any data entry errors, they must follow the specific modification procedure indicated on the Website before submitting the order proposal. In particular, the Customer may modify the quantity of Products they intend to purchase by adding or removing one or more Products from the “shopping cart.”
5.4. By submitting the order proposal to Bruno Manetti S.r.l., the Customer acknowledges and declares that they have read all the information provided during the purchase process and fully accept the General Conditions.
5.5. Without prejudice to the uses of data described in the Privacy Policy and subject to the Customer’s explicit consent, the order proposal form and the Customer’s data related to the order will be retained by Bruno Manetti S.r.l. for the period required by applicable law.

PAYMENT METHODS
6.1. The Customer may pay for the Products and related delivery costs by credit card.
6.2. Bruno Manetti S.r.l. accepts payments made with:
Visa, Mastercard.
6.3. The transaction will be charged to the Customer’s credit card only after:
(i) the credit card details have been verified;
(ii) authorization for the charge has been received from the card issuer; and
(iii) the availability of the Product has been confirmed by Bruno Manetti S.r.l., and therefore once the order is ready to be processed.
6.4. If, for any reason, it is not possible to charge the amounts due by the Customer, the purchase process will be automatically cancelled and the transaction voided.

CONCLUSION OF THE CONTRACT
7.1. The contract between Bruno Manetti S.r.l. and the Customer is considered concluded when the Customer receives confirmation from Bruno Manetti S.r.l. that the order proposal—submitted in accordance with the procedures indicated on the Website—has been successful, following verification of Product availability and successful payment authorization. The order proposal submitted by the Customer shall be binding on Bruno Manetti S.r.l. only if the entire purchase procedure has been correctly completed without any indication of errors on the Website.
7.2. Bruno Manetti S.r.l. reserves the right to partially fulfill the order in case of unavailability of one or more ordered Products. In such a case, only the amount corresponding to the fulfilled part of the order will be charged.
7.3. Bruno Manetti S.r.l. shall not be liable for malfunctions dependent on the data transmission network operator.

INVALIDITY OF THE ORDER PROPOSAL
8.1. Notwithstanding paragraph 7 above, no order proposal shall be deemed accepted by Bruno Manetti S.r.l., and no contract shall be deemed concluded, if Bruno Manetti S.r.l. has reasonable grounds to believe that the Customer:
(i) intends to purchase the Products for purposes related to their own or others’ business or professional activity, as per paragraph 1.2; or
(ii) is not acting with a genuine interest in purchasing the Products; or
(iii) is abusively exercising the right of withdrawal referred to in paragraph 12 below.
8.2. In such cases, the order proposal shall be considered null and void. Bruno Manetti S.r.l. will notify the Customer by email of the non-acceptance of the order and the non-conclusion of the contract, and will cancel any charges and/or expenses incurred by the Customer.

AUTHENTICITY GUARANTEE AND INTELLECTUAL PROPERTY RIGHTS
16.1. Bruno Manetti S.r.l. guarantees the authenticity of all Products purchased on the Website. “BRUNO MANETTI” branded Products are made with the finest materials, crafted by artisans, and are entirely MADE IN ITALY.
16.2. The “BRUNO MANETTI” trademark, as well as all figurative and non-figurative trademarks, service marks, marks appearing on the Products, their accessories and/or packaging, shape marks (whether registered or not), as well as all illustrations, images and logos protected by copyright, and more generally all intellectual property rights relating to the Products, are and shall remain the exclusive property of Bruno Manetti S.r.l. The information, images, photographs, trademarks and, in general, all elements and materials made available through this Website are and shall remain the exclusive property of Bruno Manetti S.r.l.; therefore, reproduction (except for personal, non-commercial use), distribution, publication, transmission, modification (in whole or in part), and sale of such materials are expressly prohibited. In particular, the names and trademarks “BRUNO MANETTI”, whether registered or not, are and shall remain the exclusive property of Bruno Manetti S.r.l., and any reproduction, distribution, publication, transmission, modification or sale, for any reason or purpose, is strictly prohibited.

APPLICABLE LAW AND JURISDICTION
17.1. These General Conditions are governed by Italian law and shall be interpreted in accordance with Italian legislation.
17.2. Any disputes arising from the interpretation, validity and/or execution of these General Conditions shall fall under the mandatory jurisdiction of the court of the Customer’s place of residence or domicile.
